Many Dubai business owners imagine that if they stop business, close the office and do not renew the licence, the company will simply be removed from the government’s records. In 2026 such an assumption will be one of the most expensive blunders an owner will make.

How you close matters, whether your company is no longer profitable, you are leaving the UAE or you want to start something new.  In this HA Group guide, we explore when company liquidation in Dubai is the better choice, what truly occurs when a license expires, and how to decide with certainty.

Company Liquidation vs License Expiry: What’s the Difference?

Company liquidation is the formal process for closing a business.  You clear all your debts before you move away. You give creditors an opportunity to come forward, revoke employee visas, end your tax registrations with the FTA and get a license cancellation certificate. you may use the certificate to establish the company is genuinely closed, not just inactive.

Letting a trade licence expire is not the same as renewing it. It cancels the right to operate but does not shut down the firm, tax registrations or invalidate visas. The legal entity, FTA registration and establishment card are valid.

So the real question isn’t “liquidation or expiry.” It’s “a planned closure now, or an unplanned one later at a higher price.”

What Happens When You Let a Dubai Trade License Expire

Suppose three different clocks start the day following expiry:

The licensing clock:  Dubai mainland late-renewal charges are sometimes quoted at roughly AED 250 per month, with a supplementary AED 5,000 penalty for operating on an expired permit. Free zones have their own growing costs.

The tax clock: The FTA still expects returns, even nil returns. If you miss the deadline for deregistering your corporate tax, you will be fined AED 1,000 plus another AED 1,000 for each month, up to a maximum of AED 10,000. The same limit applies to VAT deregistration, so the combined exposure can reach AED 20,000.

The immigration clock: Visa renewals are stopped. New applications are denied. If you don’t renew for a long time, you might be blacklisted. Blacklisting follows the owner, not just the company.

None of these clocks will stop by themselves. Only official closure can stop them.

5 Situations When Company Liquidation Is the Better Choice

  • You’ve permanently stopped operations. A dormant company is no longer free. Corporate tax registration is a requirement regardless of whether you’re making a profit so even a shell company has to register and file.
  • Your company has outstanding debts. Expiry of a company does not extinguish the liabilities to suppliers, landlords, banks and employees. Liquidation will deal with the claims of the various creditors in accordance with the proper legal process and will limit the amount of personal exposure which directors and shareholders can be liable for.
  • You sponsor employees or hold visas. Salaries and end-of-service benefits must be paid, work permits cancelled via MOHRE, residence visas and the establishment card all closed. Active visas will prevent you from being deregistered, and you will be liable for AED 50 per day for each day you overstay once the grace periods have expired.
  • You want to do business in the UAE again. Defaulter listings will prevent the same shareholders from setting up new entities. A clean liquidation certificate is a protection for your future as much as it is for your past.
  • You operate a mainland LLC. A Dubai mainland LLC requires a notarised shareholders’ resolution, a licensed liquidator, creditor notification, and final deregistration. License cancellation is the last step of liquidation, not a shortcut around it.

When Liquidation May Not Be the Right Choice

Liquidation is permanent, and sometimes it is not the best option in a few situations:

  • You’re taking a break, not stopping. You have free zones such as RAKEZ and IFZA that offer you a dormant status to reduce costs and keep the company active.
  • You’re relocating within the UAE. The Commercial Companies Law Article 15 bis allows the business to transfer its registration to another body while maintaining its legal identity.
  • The company can’t pay its debts. Voluntary liquidation is only for solvent companies. If obligations are more than assets, the bankruptcy procedure applies instead.

Notice that “let it expire” never appears as a sensible option. Pause it, move it, or liquidate it. Just don’t abandon it.

The Cost Comparison Most Owners Never Do

Industry estimates for 2026 are around AED 5,000 to AED 15,000 for a free zone closure, AED 15,000 to AED 28,000 for a simple mainland LLC closure and AED 35,000 to AED 55,000 or more for a mainland LLC with an expired license and multiple workers.

Not liquidating is the most costly situation. It is liquidating late, after the penalty has accumulated. The difference is almost entirely delayed.

How Dubai Company Liquidation Works in 2026

For a mainland LLC, the procedure is in this order:

  • Pass a notarised shareholders’ resolution and appoint a professional liquidator.
  • Obtain clearance from DET and publish the creditor notice. The claim period is usually 45 days in the Dubai mainland.
  • Settle employee dues first, then cancel employee visas, then the establishment card, and the investor visa last
  • Deregister for VAT within 20 business days of discontinuing taxable supplies and for corporation tax within three months after cessation. File final returns.
  • Obtain approvals, close the bank account and file the liquidator’s final report for the license cancellation certificate.

A regular closure on the mainland takes two to six months. Free zone closures are frequently speedier, sometimes bypassing the newspaper notice. Keep your records for 7 years after this.

FAQs

Does a Dubai trade license cancel automatically when it expires?

No, the expiry terminates your right to operate but the company stays on record until it is properly liquidated.

Can I liquidate a company whose licence has already expired?

Yes. Then the fines are paid. The returns that have not been submitted are filed. The official closure process then moves on.

Do I need to cancel corporate tax registration after liquidation?

Yes. Corporate tax and VAT have to be de-registered separately under FTA, and returns are still needed until approval, even if there is nil income.

Do I need a liquidator to liquidate a Dubai mainland LLC?

Yes. Mainland LLCs need a qualified liquidator to shut down. Sole establishments have an easier process to wind up.

Final Word

If your business is permanently closed, has obligations, sponsors workers, or is a mainland LLC, formal company liquidation is a preferable choice. It’s easy to let your Dubai license expire,  but it’s also the quickest way to rack up a slew of fines. Liquidation provides a specific date of completion, a predictable budget and formal documentation that your responsibilities have been satisfied.

HA Group manages liquidation, visa cancellation and FTA deregistration of mainland and free zone companies from start to finish, ensuring you leave cleanly and maintain your name clear for what comes next.
